We are actively seeking a Head of Company Secretary to join our clients team in Southwark, London, details below:

Head of Company Secretary

£800p/d via umbrella

8-10 week interim contract

Monday to Friday, 8am-5pm

Hybrid - 2 days on-site, 3 days from home

JOB PURPOSE

Our client requires a business focussed Head of Company Secretary to support its Global Workplace Solutions ("GWS") Data Centres and Local Facilities Management Divisions in the Europe, Middle East, and Africa ("EMEA") region. The role reports to the Head of legal for GWS for Data Centres (Globally) and Local Facilities Management Divisions (EMEA).

The role entails a full range of legal, risk and governance issues which affect and are integral to facilities management and project services contracts within the region. More specifically, the role requires that the individual:

* Cosec & Governance strategy and operations

Company secretarial and governance strategy and team leadership

EMEA executive reporting on entity governance

Set up of entity Governance programme of trainings, comms, guide notes etc

Entity governance framework, handbook and practices

Ensure consistent adherence to governance and reporting as well as consolidate regional reporting into quality single source of information for global leadership

Drive continues improvement, develop and implement the function's strategies

* Legal corporate projects, transactions, M&A

Highlight Legal aspects of corporate transactions

Management and reporting, leadership up to completion

Maintain relationship with law firms managing corporate projects for the company

* People

Advise on CoSec recruitment and resourcing strategy for the business to ensure appropriate cover when business grows

Plan & prepare for growth

* Finance

Full responsibility of cosec expenses, management of project spend and regular reporting

* Collaboration with wider business

Engage with wider teams (central or local, GWS or Advisory) and leadership on joint initiatives, issues, and objectives

* Consideration of performance guarantees, and guidance for local teams Meetings

Global CEO, COO, Presidents - quarterly BGR, CF BGR, monthly review meetings across EA

Legal strategy sessions with Head of Legal

Weekly Entity Governance calls for heads of Enterprise EMEA central support functions

Catch up sessions with local legal contacts responsible for cosec, and with project

Weekly / Monthly Team Meetings (legal and cosec)

Project management of legal corporate transactions

More specifically the role requires that the individual:

* Has a high level of attention to detail, organisation, commercial insight, communication skills, determination and flexibility to support the different business needs.

* Must be a self-starter, pro-active and prompt in carrying out tasks and responsibilities and can anticipate risks.

* Has excellent negotiation, communication, analytical, problem-solving, and drafting skills, and confidence to escalate issues appropriately.

* Keeps abreast of trends and changes in the CoSec laws in EMEA affecting the business and proactively communicate them to the business.

* Has the ability to isolate complex cosec legal issues and to provide prompt, concise and commercially focused legal advice, while balancing risks and benefits and being able to communicate these issues effectively

* Maintain current knowledge of the law in areas of special interest to the business.

* Conduct training sessions and assist in the preparation of training materials.

PERSON SPECIFICATION

Associate CSQS qualification.

At least 8 years relevant experience including with a service provider.

In-house experience with ability to bridge business risk strategies with legal requirements.

Experience of managing people.

A demonstrable track record of and good knowledge of broad based cosec and governance experience.

Knowledge of GDPR.

Up to date professional development training.

Knowledge of Facilities Management services.

Ability to provide "customer focused" delivery in terms of legal advice.

Results driven and goal orientated - commitment to "get the deal done".

Exceptional interpersonal skills and ability to work across boundaries and cultures and in a cooperative way.

Encourages excellence and accountability.

Fluency in English.

IT fluency (Word, Excel, PowerPoint, etc)

Ability to develop solid relationships with all key stake-holders.

Willingness to work on tight timeframes at a fast pace, including accommodating different time zones on global transactions.

Good administration skills - typing, filing, letter writing, etc.

Flexibility towards regular international travel.

Comfortable in client facing situations

Hybrid working 2 days per week in Southwark office, London
