IS THIS ROLE FOR ME?

Bristol Waste Company are seeking an experienced Non-Executive Director (NED) who, ideally, has a good knowledge of the waste or similar sector experience. It is essential that the incumbent can bring their wider business experience to contribute to the board by providing independent oversight and constructive challenge to the executive along with supporting the continuous development of Bristol Waste's strategy.

REQUIREMENTS FOR THE ROLE:

In the role as non-executive director you will be required to:
  • Constructively challenge and help develop proposals on strategy.
  • Scrutinise and monitor the performance of management in meeting agreed goals and objectives
  • Ensure that there is effective and robust governance in relation to:
  • financial performance monitoring and reporting
  • risk monitoring and mitigation - covering finance and regulatory risk
  • corporate governance including in the context of HoldCo and BCC as shareholders.
  • policies including scheme of delegation, and risk management
  • Uphold high standards of integrity and probity and support other directors in instilling the appropriate culture, values, and behaviours in the boardroom and throughout the company.
  • Review information sufficiently in advance of board meetings and consider the views of shareholders and other stakeholders where appropriate
  • Work with the Chair, the other members of the Board and the Executive to ensure the delivery of the company's objectives and to ensure that its values and ways of working are consistent with the expectations of HoldCo and BCC as the ultimate shareholder.
  • Impartially monitor the commercial and social performance of the Company and its executives against board agreed business objectives and SLAs and hold the executive to account for their performance.
  • Oversee Company performance against any reputational or license risk that may emerge.
  • Act in a way that takes collective responsibility for the Company and provides challenge to the Executive
