Location: East Midlands (travel to London Required)

Location Notes: Happy to consider South East/London based candidates who are prepared to work away from home

Remuneration: £850-£1,000 per day (based on experience)

Duration: 6 months +

Summary of the role:

This FTSE listed business is looking for an Interim Company Secretary with experience of working with a dynamic and challenging Board of Directors.

The role will see you providing company secretarial and governance support to the main Board and its Committees. This will include the preparation, collation and distribution of Board and Committee material. Then ensuring minutes and actions are captured effectively and that a record of agreed actions is maintained until the item is closed.

The experience you’ll bring:

  • Having worked with FTSE Chairman and CEO’s you’ll be viewed a bringing valued and trusted commercially pragmatic advice to Main Boards and committees.
  • With strong technical expertise and experience in corporate governance, UK Listing Regime, company law, remuneration regulations and employee share schemes you’ll have led significant Company Secretarial functions in a FTSE100/250 business(es) delivering against obligations on Listing Rules, Companies Acts and UK Corporate Governance codes.
  • As regulation continues to increase you’ll be able to clearly evidence your ability to manage the increasing risks to ensure effective and efficient compliance to these standards.
  • You’ll be responsible for key sections of the Plc Annual Report including Remuneration Reporting, Corporate Governance Reporting, AGM notices and Share Based Payments notifications.
  • Overseeing proposal design and shareholder approval processes for the implementation and administration of all executive and employee share schemes.
  • You’ll have indepth knowledge of managing FTSE listed company AGM processes, including notices of meetings, institutional shareholder consultations and shareholder circulars.
  • Work with and support Company Directors while ensuring corporate governance is adhered.
  • Experience of working with all areas of the business including finance and legal.  
  • Building and management of share schemes covering tens of thousands of employees.
